These Terms of Service ("Terms") constitute a legally binding agreement between you and DynamiGrid, a company registered in England and Wales ("Company," "we," "our," or "us"). By accessing or using our website dynami-grid.com and related services, you agree to be bound by these Terms.

You must be at least 18 years old and have the legal capacity to enter into contracts under UK law. If you are using our services on behalf of a company, you represent that you have the authority to bind that organization to these Terms.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy. You are responsible for safeguarding your account credentials and for all activities under your account.

You agree not to use our services to:

5. Intellectual Property Rights

5.1 Our Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and trademarks, are owned by DynamiGrid and protected by UK and international copyright, trademark, and other intellectual property laws.

5.2 User Content

You retain ownership of any content you provide through our services. By using our services, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, and display your content solely for the purpose of providing our services.

5.3 Feedback

Any feedback, suggestions, or ideas you provide about our services become our property and may be used without restriction or compensation.

6. Payment Terms and Billing

6.1 Pricing

Pricing for our services is available upon request and may vary based on the scope and complexity of your requirements. All prices are quoted in British Pounds (GBP) and are exclusive of VAT unless otherwise stated.

6.2 Payment

Payment terms will be specified in your service agreement. Generally, invoices are due within 30 days of the invoice date. Late payments may incur interest charges at a rate of 2% per month or the maximum allowed by law, whichever is lower.

6.3 Refunds

Refund policies will be outlined in your specific service agreement. Generally, custom development work is non-refundable once commenced.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

We comply with the UK General Data Protection Regulation (UK GDPR) and other applicable data protection laws.

8. Service Level Agreements and Support

8.1 Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.

8.2 Support

Technical support is provided during business hours (Monday-Friday, 9:00 AM - 6:00 PM GMT) unless otherwise specified in your service agreement. Emergency support may be available for critical issues.

9. Limitation of Liability

To the maximum extent permitted by UK law:

  • Our total liability for any claims arising from or relating to these Terms or our services shall not exceed the amount paid by you for our services in the 12 months preceding the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • We disclaim all warranties except those that cannot be excluded under UK law
  • Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation

10. Indemnification

You agree to indemnify, defend, and hold harmless DynamiGrid and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorney fees) arising from:

  • Your use of our services in violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your infringement of any third-party rights
  • Any content you provide through our services

11. Termination

11.1 Termination by You

You may terminate your use of our services at any time by providing written notice. Termination does not relieve you of any payment obligations incurred prior to termination.

11.2 Termination by Us

We may terminate or suspend your access to our services immediately if you breach these Terms or for any other reason with reasonable notice. We may also terminate services with 30 days' written notice.

11.3 Effect of Termination

Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination will remain in effect.

12. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, terrorism, labor disputes, or government actions.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Dispute Resolution

Before initiating formal legal proceedings, we encourage you to contact us to seek a resolution. We are committed to resolving disputes amicably and may suggest mediation or arbitration for complex matters.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through:

  • Email notification to registered users
  • Prominent notice on our website
  • Updated "Last modified" date on this page

Continued use of our services after changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.

17. Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and DynamiGrid regarding the use of our services and supersede all prior agreements and understandings.
